1. POLICY STATEMENT
1.1 All Donations provided by the Company must be compatible with this Policy and must reflect the Company’s commitment to operating in an ethical manner and as a socio-economic initiative for the betterment of the Community of Kahnawake.
1.2 Individuals, whether or not they are members of the Community of Kahnawake, are not eligible to apply for or to be provided a Donation by the Company.
1.3 Only reputable organizations, as defined herein, that are established or operate within the Mohawk Territory of Kahnawake on a non-profit basis and that have one or more of the following objectives are eligible to apply
for or to be provided a Donation by the Company:
1.3.1 to advance the Mohawk language, culture and/or traditions;
1.3.2 to encourage and assist youth participation in sport; or
1.3.3 to facilitate other charitable or Kahnawake Community-oriented
objectives.
1.4 Donations will not be given to organizations that the Company is in legal or financial conflict with or that associates the Company with a disreputable group.
1.5 Donations should seek to enhance the reputation of the Company as a socio-economic initiative for the betterment of the Community of Kahnawake.
1.6 Donations may only be provided by the Company where the Donation is made in compliance with the applicable laws of Canada and Jersey (Channel Islands).
2. PROCESS
2.1 To be eligible for consideration by the Company, applications for Donations must:
2.1.1 be completed by an Eligible Applicant in the Application form attached as Schedule “A” hereto;
2.1.2 be signed by a duly authorized representative of the Eligible Applicant; and
2.1.3 include all information and documents required by the Application or requested by the Company.
2.2 Upon receipt of an Application for a Donation from an Eligible Applicant, the Donation Review Committee will review the Application and will:
2.2.1 grant the Application;
2.2.2 deny the Application;
2.2.3 request that the Eligible Applicant provide additional information;
2.2.4 refer the Application to the Board of Directors of the Company (the “Board”) for guidance and direction.
2.3 To be effective, a decision to grant an Application must be approved by at least three (3) members of the Donation Review Committee.
2.4 When a decision is made to grant an Application, the Donation Review Committee will:
2.4.1 advise the Board of the decision to grant the Application, including the name of the successful Eligible Applicant and the amount of the Donation; and
2.4.2 authorize payment to the Eligible Applicant of the approved amount of the Donation.
2.5 When an Application is denied, the Donation Review Committee will provide the Eligible Applicant reasons for the denial.
2.6 When an Application is referred to the Board, the Donation Review Committee will follow such guidance and direction as the Board may provide in relation to the Application.
2.7 If requested to do so, the Donation Review Committee will provide the Board any additional information in its possession regarding any decision the Donation Review Committee has made to grant or deny an Application.
3. REVIEW AND MONITORING
3.1 The Donation Review Committee will review and monitor the effectiveness of each Donation made by the Company and will report its findings to the Board for its information.
3.2 The Donation Review Committee will review and monitor the effectiveness of this Policy and will report any suggestions for amendments to the Board for consideration.
4. DEFINITIONS
4.1 In this Policy, including Schedule “A”: “Application” means an application for a Donation submitted to the Company by an Eligible Applicant;
“Company” means Mohawk Online Limited;
“Donation” means a voluntary contribution in the form of a monetary gift for which no return service or payment is expected or made;
“Donation Review Committee” means the committee that is mandated to receive, review and decide Applications for Donations in accordance with this Policy and that is comprised of the Company’s Chief Executive Officer and the Company’s Shareholder Representatives;
“Eligible Applicant” means an applicant that satisfies the eligibility criteria set out in Article 1 of this Policy;
“Reputable organization” means an organization that has no history of criminal convictions, bankruptcies or other activities that the Donation Review Committee considers to be disreputable or contrary to the Company’s objectives.
